Introduction

The present terms and conditions regulate the use of the Website to be found under www.tieconsoft.com (hereinafter referred to as: the Website). By using the Website all users shall be deemed to have read, understood and all-inclusively accepted the present terms and conditions. In case a user does not agree with these terms and conditions or any part of these terms and conditions, the user shall not be entitled to use the Website.

The user and the operator of the Website (i.e. Tieconsoft Ltd. – hereinafter referred to as: Tieconsoft shall comply with these terms and conditions during the registration, the period of use and following the expiry of the registration.

Tieconsoft reserves the right to withdraw or disable the ID or password of any user at any time or restrict the use or access to the Website at its discretion. There are contents of the Website that are available for the public (hereinafter referred to as: the public area) and contents that are only accessible with an ID and a password (hereinafter referred to as: the restricted area).

Users’ access to the public area is unlimited, however users’ access to the restricted area is limited and the ID and password provided for such access to the restricted area will automatically expire after 2 (two) weeks following the first login (i.e. 2 (two) weeks following the registration). The users hereby acknowledge that Tieconsoft shall not be obliged to provide users with a new ID and a new password following the expiry of the user’s ID and password.

Privacy Policy – Data processing guidelines

Tieconsoft shall process, store and handle any personal data obtained in course of the use of the Website in compliance with the provisions of Act CXII. of 2011. on the informational self-determination and freedom of information, also in compliance with its own data protection guidelines. No personal data shall be handed over or forwarded to any third person by Tieconsoft – unless the relevant legal regulations oblige Tieconsoft to do so. Users shall be entitled to practice their rights provided in Act CXII. of 2011. However the users hereby expressly acknowledge that they may not request deletion of their voluntarily provided data within 5 (five) years as of the registration – in order to make Tieconsoft able to enforce any of its eventual claims – arising from the eventual violation of intellectual property rights regarding the Website, or from any other grounds – against the users.

Users can be registered if they provide their necessary personal data. By using the restricted area of the Website, the users shall be considered to have voluntarily given their consent to register, process, store and handle their personal data for the purpose of using the service of the Website. The purpose of the Website is to provide information and demonstrate the use of Tieconsoft’s know-how and its operation in practice for those who have already contacted Tieconsoft or its representatives personally and requested registration for access to the restricted area.

Tieconsoft shall take all necessary measures in order to ensure the safe and intact handling, processing and storage of the data and to ensure the development and operation of its data processing system. Tieconsoft shall ensure that no unauthorized person has access to the processed data, further Tieconsoft shall ensure that the users’ data is not published, forwarded, modified or deleted by such unauthorized persons. The data provided by the users shall only be acquired by the concerned employees of the data controller, Tieconsoft shall not be entitled to forward them to any third parties without the prior consent of the affected user.

Confidentiality

Tieconsoft owns the intellectual property rights regarding the Website and all content of the Website. All these intellectual property rights are reserved by Tieconsoft.

Any and all data, information, material, idea, solution, conception, etc. on the restricted area of the Website, also any and all data, information, material, idea, solution, conception, etc. that has come to the user’s knowledge in course of the use of the Website or in course of any communication or negotiations with Tieconsoft (hereinafter referred to as: Confidential Information) shall be deemed strictly confidential. Regarding all Confidential Information the user shall:

a) take all reasonable measures to ensure safe storage and use of the Confidential Information, which measures shall include all necessary measures ensuring that no unauthorized person acquires such Confidential Information in any way;

b) not use the Confidential Information for any purpose other than that for which it has been communicated;

c) not retain Confidential Information longer than is reasonably necessary, and – following the expiry of such period – either return the Confidential Information to Tieconsoft, including any eventual copies which have been made, or certifiably destroy such Confidential Information.

Users are allowed to view and download information for storing purposes only – thus this information may not be further proceeded, amended, modified or edited –, and print pages from the Website for their own personal purposes (i.e. to obtain more information about the Tieconsoft know-how) – with the restrictions set out below:

Users shall not disclose, publish, republish or redistribute any Confidential Information, nor shall they sell, rent or sub-license any Confidential Information. Users shall not view or present any Confidential Information in public and also shall not reproduce, duplicate, copy or otherwise exploit the content of the Website or any Confidential Information for a commercial purpose. Users shall not edit, modify or amend the content of the Website.

Users shall definitely not use any Confidential Information and/or any content of the Website to develop any system identical or in any way similar to Tieconsoft’ system.

Users shall disclose Confidential Information only to their respective persons who are involved in the cooperation with Tieconsoft and only on a need-to-know basis, provided that:

a) in the event of such disclosure to any person or entity not employed by the disclosing user, the disclosing user shall nonetheless remain liable for any unauthorized disclosure; and

b) such person or entity shall be under non-disclosure/confidentiality obligations no less restrictive than the non-disclosure obligations contained in the present terms and conditions.

Users shall keep their ID and password strictly confidential and shall not publish, hand over or forward them to any third party under any circumstances. Users shall not ensure access to any third party to the restricted area of the Website.

Tieconsoft excludes all claims and liability for the actions of users who try to develop and operate a retail system based on the methodology and guidelines set out in the restricted area of the Website and reserves the right to enforce any and all claims against such users.

By using the Website, the users irrevocably agree and acknowledge that the exclusions and limitations of liability set out in the present disclaimer are reasonable and acceptable.
